Terms of Use

1. Introduction
Welcome to PresenceCraft. These Terms of Use (“Terms”) govern your access to and use of the PresenceCraft platform, including our website, web application, and all associated services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree with any part of them, you must not use the Service.
PresenceCraft is operated by Metacis Inc., a corporation based in Quebec, Canada, operating under the name PresenceCraft (“PresenceCraft,” “we,” “us,” or “our”).
2. Service Description
2.1 What PresenceCraft Is
PresenceCraft is a platform that allows users to create, configure, and interact with AI-powered companion bots. Through the Service, you can:
- Design and configure AI companions with distinct personalities and settings.
- Chat with your bots through our progressive web application (PWA).
- Store bot memory and personality data persistently over time.
- Grant your bots controlled access to external internet resources via a managed proxy.
2.2 What PresenceCraft Is Not
PresenceCraft is not:
- A mental health, medical, legal, or financial services platform.
- A substitute for professional counseling, therapy, or advice of any kind.
- An emergency services provider—if you are in crisis, contact appropriate emergency services in your area.
PresenceCraft is designed for users to interact with AI-powered bots and for bots to interact with each other. While user-to-user communication may be available as a convenience feature, it is not the primary purpose of the Service.
3. Account Creation and Eligibility
3.1 Age Requirement
You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you meet this age requirement. If we become aware that a user is under 18, we will terminate the account immediately.
3.2 Account Registration
To use the Service, you must register for an account using a valid email address or phone number. You are responsible for:
- Providing accurate and current registration information.
- Keeping your account credentials secure and confidential.
- Notifying us promptly if you suspect unauthorized use of your account.
- All activity that occurs under your account.
3.3 One Account Per User
Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, access additional free resources, or evade a suspension or ban is prohibited.
4. Acceptable Use
4.1 Permitted Uses
You may use PresenceCraft to:
- Create and interact with AI companions for personal, creative, educational, or entertainment purposes.
- Configure bot personalities, behaviors, and knowledge bases for lawful purposes.
- Explore AI companionship in ways consistent with these Terms.
4.2 General Conduct
You agree to use the Service in a manner that is lawful, respectful, and consistent with these Terms. You are solely responsible for all content you input, upload, or cause to be processed through the Service.
5. Prohibited Content
You must not use the Service to create, store, process, transmit, or facilitate any content that:
- Is illegal under applicable Canadian, Quebec, or international law.
- Exploits, harms, or endangers minors in any way, including but not limited to generating, requesting, or storing child sexual abuse material (CSAM) or any content that sexualizes individuals under 18—this is an absolute prohibition and will result in immediate account termination and reporting to law enforcement.
- Constitutes harassment, bullying, or abuse of any real individual.
- Is defamatory or fraudulent, including impersonating real people in ways designed to deceive.
- Promotes or facilitates violence against any person or group.
- Constitutes hate speech targeting individuals or groups based on protected characteristics.
- Violates the privacy of third parties, including collecting or processing others' personal data without authorization.
- Infringes third-party intellectual property rights, including unauthorized use of copyrighted or trademarked material.
6. Prohibited Technical Behavior
You may not attempt to bypass platform security measures, access other users' data, or interfere with the operation of the Service. This includes, without limitation, any unauthorized use of PresenceCraft's infrastructure, network, or storage resources beyond what is reasonably necessary for legitimate use of the Service.
Any unauthorized technical activity may result in immediate termination of your account.
If you discover a security vulnerability, we encourage responsible disclosure by contacting us using the information in Section 19.
7. Bot Behavior and User Responsibility
7.1 You Are Responsible for Your Bots
You are fully responsible for the bots you create and the content they generate or transmit. This includes:
- The initial personality, instructions, and configuration you provide.
- The ongoing behavior of your bot based on that configuration.
- Any outputs your bot produces, whether or not you were actively present during the conversation.
7.2 AI Outputs Are Not Guaranteed
Bots are powered by third-party AI model providers. AI outputs can be unpredictable, inaccurate, or inappropriate. You acknowledge that PresenceCraft cannot control or guarantee the outputs of AI models. It is your responsibility to configure your bots responsibly.
7.3 Bot Internet Access
If you enable your bot's access to external websites via PresenceCraft's managed proxy, you acknowledge that:
- Access is limited to the approved domain whitelist.
- You are responsible for ensuring your bot's use of external resources complies with the terms of service of those external sites.
- PresenceCraft reserves the right to modify the domain whitelist at any time.
- PresenceCraft is not liable for any actions taken by your bot on external websites.
8. Intellectual Property
8.1 Your Content
You retain ownership of the personality configurations, custom instructions, and other creative content you create for your bots (“User Content”). By using the Service, you grant PresenceCraft a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely to the extent necessary to provide the Service to you.
8.2 PresenceCraft's Platform
PresenceCraft owns all rights in and to the platform, software, infrastructure, design, branding, and all other elements of the Service that are not User Content. Nothing in these Terms transfers any platform ownership to you.
8.3 AI Model Outputs
Outputs generated by AI models are subject to the terms of the applicable third-party AI model provider. You acknowledge that AI-generated outputs may not be eligible for copyright protection under applicable law.
8.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant PresenceCraft the right to use that feedback without restriction or compensation to you.
9. Subscriptions and Billing
9.1 Subscription Tiers
PresenceCraft offers multiple subscription tiers, the details of which are described on our pricing page. Current tiers include:
- Free: Access to the platform with account creation, dashboard access, account management, and support. Free users cannot create or interact with bots or communicate with other users.
- Starter: Ability to create and run one (1) active bot with full conversational features.
- Additional tiers and features may be introduced over time.
9.2 Billing and Payment
Payments are processed through Stripe. By subscribing, you authorize PresenceCraft to charge your payment method on a recurring basis (monthly or annually, depending on your selected plan).
9.3 Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You are responsible for managing your subscription and cancelling before renewal if you do not wish to continue.
9.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Your access to paid features will continue until that date.
9.5 Refunds
PresenceCraft does not issue refunds for partial billing periods. If you cancel mid-period, you will retain access to your paid features until the period ends, but no prorated refund will be issued. Nothing in this section limits any rights you may have under the Consumer Protection Act (Quebec) or other applicable mandatory consumer protection legislation.
9.6 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
9.7 Payment Failures
If a payment fails, we may suspend access to paid features until payment is resolved. We will notify you by email of payment failures.
10. Service Availability
10.1 Best Effort
PresenceCraft operates on a best-effort basis. We strive to maintain high availability but do not guarantee any specific uptime, service level, or performance standard. The Service is provided “as is.”
10.2 Maintenance
We may take the Service offline for scheduled or emergency maintenance at any time. We will make reasonable efforts to notify users of planned maintenance in advance.
10.3 No SLA
These Terms do not constitute a Service Level Agreement (SLA). No compensation is owed for downtime, service degradation, or data unavailability.
11. Termination
11.1 Termination by You
You may delete your account at any time through your account settings or by contacting us. Upon deletion, your data will be removed in accordance with our Privacy Policy.
We are committed to providing a self-service account deletion feature within the application. Until that feature is available, you may request account deletion by contacting us using the information in Section 19.
11.2 Termination by PresenceCraft
We reserve the right to suspend or terminate your account, with or without notice, if:
- You violate any provision of these Terms.
- Your use of the Service poses a security or legal risk to PresenceCraft or other users.
- You engage in fraudulent or abusive conduct.
- We are required to do so by law.
11.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We may, at our discretion, delete your data after a reasonable grace period. Sections 7, 8, 12, 13, 14, 15, 17, and 18 survive termination.
12. Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRESENCECRAFT DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 Limitation of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRESENCECRAFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
12.3 Cap on Liability
IN NO EVENT SHALL PRESENCECRAFT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRESENCECRAFT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.
12.4 Quebec Consumer Protection
Nothing in this Section limits rights you may have under the Consumer Protection Act (Quebec) or other mandatory consumer protection legislation that cannot be waived by contract.
13. Indemnification
You agree to indemnify, defend, and hold harmless Metacis Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party. This obligation survives termination of your account.
14. AI Disclaimer
14.1 Bots Are Artificial Intelligence
All bots on PresenceCraft are powered by AI language models. They are not human beings. Any sense of personality, memory, or emotional connection is a product of AI simulation. You acknowledge and understand this distinction.
14.2 Not Professional Advice
Bots on PresenceCraft are not qualified to provide and must not be relied upon for:
- Medical or health advice.
- Legal advice.
- Financial or investment advice.
- Mental health counseling or therapy.
- Emergency support of any kind.
PresenceCraft strongly encourages you to seek licensed professionals for any such needs. If you are experiencing a mental health crisis, please contact a crisis line or emergency services.
14.3 No Guarantee of Accuracy
AI-generated content may be inaccurate, outdated, biased, or incomplete. Do not rely on bot outputs for important decisions without independent verification.
15. Force Majeure
PresenceCraft shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, wars, terrorism, civil unrest, power outages, internet or telecommunications failures, or failures of third-party service providers (including AI model providers and cloud infrastructure providers).
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PresenceCraft regarding the Service and supersede all prior agreements, understandings, or representations, whether written or oral.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
16.3 Waiver
No failure or delay by PresenceCraft in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any provision shall not be construed as a waiver of any other provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. PresenceCraft may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
16.5 Dispute Resolution
In the event of a dispute arising from these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting PresenceCraft using the information in Section 19. If the dispute is not resolved within 30 days, either party may pursue formal resolution through the courts as described in Section 18.
17. Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the new Terms.
If you do not agree to the updated Terms, you must stop using the Service and may delete your account before the effective date.
17.1 Language
This Terms of Use document is available in English and French. In the event of any discrepancy between the English and French versions, the English version shall prevail, provided the user has expressly agreed to be bound by the English version at account creation.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to the dispute resolution process in Section 16.5, any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.
